The Federal Trade Commission filed a lawsuit against the two retailers on 26 February 2024 over harming consumers and workers due to less competition. The lawsuit alleged the defendants in violation of Section 5 of the FTC Act (15 U.S.C. § 45), which prohibits unfair methods of competition or deceptive practices, and Section 7 of the Clayton Act (15 U.S.C. § 18), which prohibits acquisitions or mergers that lessen competition and pose risks to consumers.
