Federal Trade Commission filed a lawsuit a lawsuit against the two retailers on 26 February 2024 over harming consumers and workers due to less competition. The lawsuit alleges the defendants in violation of Section 5 of the FTC Act (15 U.S.C. § 45) which prohibits unfair methods of competition or deceptive practices ,and Section 7 of the Clayton Act (15 U.S.C. § 18), which prohibits acquisitions or mergers that lessen competition and pose risks to consumers.

On 10 December 2024, the Federal Trade Commission blocked a $24.6 Billion merger agreement between Kroger and Albertsons over risk of higher food prices and limiting product choices. A day later, both companies filed lawsuits against each other.
