Corel, the software company behind CorelDRAW, PaintShop Pro & Pinnacle Studio, closed the upgrade program its CorelDRAW perpetual-license customers paid into on September 28, 2021.[1][2][3] Its terms define a Perpetual License as a revocable license.[3] Corel's product page tells one-time CorelDRAW buyers that a perpetual license does not provide ongoing support for future operating systems, devices, or technologies.[4] The private equity firm KKR bought Corel in July 2019.[5] The company took the name Alludo on September 13, 2022, though the products would keep their existing branding.[6][7] Corel said on May 5, 2026 that it had relaunched as an independent company after Vector Capital completed its acquisition of Corel's creativity and productivity software brands.[8]

Consumer-impact summary

  • Corel's Upgrade Protection Program terms define both the perpetual & the subscription license as revocable.[3]
  • Corel states that [a]s of September 28, 2021, the Upgrade Protection Program is no longer available.[2] From that date a customer holding only a perpetual license, and any new customer, had to move to a subscription to keep receiving upgrades.[3]
  • Customers who had bought into the program on or after January 1, 2015 and were still enrolled when the terms took effect were converted to a subscription that ran free until March 7, 2023 and was then set to auto-renew for 12 months unless cancelled before that date; anyone who bought in earlier lost the program at the end of a final renewal.[3][2]
  • A CorelDRAW subscription whose auto-renewal is cancelled, or which expires, drops the installed software to viewer mode.[2]
  • Corel tells one-time CorelDRAW buyers that owning the purchased version carries no entitlement to later updates, added features, or material reserved for subscribers.[2]
  • The September 2023 CorelDRAW Graphics Suite announcement said that many of the new features and enhancements, apps & workflows go to subscribers & maintenance customers only.[9]

Subscription conversion and one-time purchase entitlements

Corel sold upgrades to perpetual-license owners through the Upgrade Protection Program, a one-year term the owner renewed. The program's terms close it in stages from September 28, 2021: no renewal at all for anyone who bought a term between March 9 & September 27, 2021, and one final renewal for anyone who bought on or before March 8, 2021.[3] What happened to an owner already enrolled depended on when they had bought in. For a purchase on or after January 1, 2015 by an owner still enrolled in that UPP on the Effective Date, which the terms set at March 7, 2022, they state that on expiry of the term Corel will convert Your UPP to a Subscription License that is valid and free of charge until March 7, 2023. For a purchase before January 1, 2015, the UPP will no longer be available to You once the final renewal expires, though the owner may keep using upgrades already installed so long as Your Perpetual License is not terminated for cause.[3]

Corel's support FAQ sets out what was to happen at the end of that free year:

Following that transition, your CorelDRAW subscription will automatically renew for 365 days (CorelDRAW 365-day subscription) on March 7, 2023, at the price that you paid for renewing or buying your UPP last.[2]

The program terms attach a condition to that renewal: it runs unless You cancel this autorenewal through the online account before March 7, 2023.[3]

A subscriber who cancels auto-renewal, or whose subscription expires, is told:

your version of the software will revert to viewer mode (similar to when a trial expires)[2]

The same answer sets out what the alternative buys:

you own that specific software version forever, but you are not entitled to any updates, new features, or subscriber-exclusive features and content[2]

The September 2023 announcement of updates to CorelDRAW Graphics Suite 2023 drew the same line between subscriber and one-time-purchase features:

Many of the new features and enhancements, apps, and workflows are available exclusively to subscribers and maintenance customers and are not available in the one-time purchase version of CorelDRAW Graphics Suite 2023.[9]

Corel's support policy, which it applies to multiple Corel products, states:

Even though our "perpetual" licenses are in principle valid for an unlimited period of time, the technical progress of hardware and software may mean that these licenses cannot be used in practice to run older versions of the software for an unlimited period of time.[10]

Also, because legacy licenses may not be compatible with new operating system versions or computers, in certain situations, upgrading to a current version of Corel products may be necessary to ensure safe operation.[10]

Founding and ownership changes

Michael Cowpland founded Corel in 1985, with operations headquartered in Ottawa, Canada. The company worked first as a systems integrator, releasing the first version of CorelDRAW in January 1989.[11][12] Vector Capital acquired Corel and took it private in August 2003, and Corel completed an initial public offering on the TSX and the NASDAQ Global Market in May 2006.[12] Corel Holdings, L.P., whose general partner the filing names as Vector Capital Partners II International, Ltd., offered in October 2009 to buy the Corel shares it and its affiliates did not already own, and then completed its acquisition of Corel through a share consolidation that shareholders approved at a special meeting on January 26, 2010.[13] A Rule 13e-3 transaction statement filed with the United States Securities and Exchange Commission calls the consolidation the second and final step in the Purchaser's acquisition of the Company. Shareholders left with fractional holdings were entitled to receive U.S. $4.00, in respect of each pre-Consolidation Share. The filing records that the Company became a wholly-owned subsidiary of the Purchaser & that its shares would be delisted from the NASDAQ stock market and the Toronto Stock Exchange.[13]

On July 2, 2012 Corel acquired Avid's consumer video editing product lines, including Pinnacle Studio™ HD and Avid® Studio.[14]

KKR bought Corel from Vector Capital in July 2019. Terms were not disclosed.[5] On September 13, 2022 the company announced a full rebrand, including a new name: Alludo.[6] The technology magazine PCMag reported:

Alludo is the new umbrella brand name for the corporation, while the products will retain their existing branding[7]

The rebrand announcement's copyright line reads Cascade Parent Limited trading as Alludo, and names Corel, CorelDRAW, MindManager & WinZip as trademarks or registered trademarks of Corel Corporation.[6]

Corel announced on February 26, 2026 a definitive agreement that will separate its business into two independent companies, under which Vector Capital Management, L.P. will acquire Corel's portfolio of creativity and productivity software and related brands while Parallels will remain under ownership of funds managed by KKR. Financial terms were not disclosed, and Corel said the transaction was expected to close in May 2026, subject to customary closing conditions, including regulatory approvals.[15] On May 5, 2026 Corel said it had relaunched as an independent company following the completion of Vector Capital Management, L.P.'s acquisition of that portfolio, and that Prasannaa Ganesan has assumed the role of Chief Executive Officer effective at close.[8] Vector Capital's own investment page for Corel says that In 2026, Vector reinvested in Corel, supporting its relaunch as an independent company.[16]

Corel's support article for Pinnacle Studio 16 and older still directs owners to an unlock website to regenerate activation keys, which Corel describes as codes that unlock some functionality of your software (special effects, plugins etc.).[17][18] That address no longer resolves.[19] No Internet Archive capture shows it serving the key regeneration page after September 24, 2018.[20]
